Terms of service
These Terms govern access to Aegis OS, operated by MATЯXS Labs. By creating a workspace, accepting an order form, or using the service, the customer and its authorized users agree to these Terms.
Eligibility and authority
The service is for business use by people at least 18 years old. A person creating a workspace represents that the information supplied is accurate and that the person has authority to accept these Terms for the named company. The customer is responsible for all authorized users and for promptly removing access that is no longer required.
Accounts and permitted use
Each user must use an individual approved identity, safeguard credentials and verification codes, and access only the company, assignments, claims, inspections, and records allowed by that user’s role. Credential sharing, access-control bypass, scraping, malware, unlawful surveillance, unauthorized disclosure, and use that infringes another person’s rights are prohibited.
Subscriptions, trials and payment
A verified company may receive one 14-day trial. The selected plan controls included users and the commercial rate shown at enrollment or in an order form. Aegis OS does not automatically charge a trial while payment processing is shown as disconnected. Paid service begins only after the customer authorizes billing or signs an order form. Unless an order form states otherwise, fees are billed monthly in advance, taxes are the customer’s responsibility, and third-party provider charges are separate.
Customer Data and ownership
As between Aegis and the customer, and subject to the rights of claimants, insureds, employees, contractors, carriers, and other third parties, the customer retains all ownership and other rights it lawfully holds in identifiable data submitted to its workspace. Customer Data includes inspection and claim records, media, documents, communications, policy information, employee information, field observations, and customer-created reports.
Aegis Data and derived insights
Aegis owns the service, system telemetry, usage metrics, workflow methods, and aggregated or deidentified data, statistics, benchmarks, features, models, and insights created from operation of the service (collectively, Aegis Data). Aegis may use, combine, analyze, improve, license, publish, and commercialize Aegis Data for lawful business purposes, including product development, security, industry benchmarking, research, analytics, and model development. Aegis Data will be prepared using reasonable measures so it cannot reasonably be linked to an identifiable person or customer, and recipients of licensed Aegis Data are placed under applicable use and reidentification restrictions.
Data-processing license
The customer grants Aegis and its service providers a worldwide, nonexclusive license to host, copy, transmit, display, back up, secure, analyze, transform, and otherwise process Customer Data to provide, support, protect, and improve the service; fulfill customer instructions; develop Aegis Data; prevent fraud or misuse; and comply with law. The license for identifiable Customer Data lasts while that data is retained for those purposes. Rights in Aegis Data, feedback, and learnings that no longer reasonably identify a person or customer continue after termination.
Customer authority and responsibilities
The customer must have a lawful basis and all required notices, permissions, licenses, appointments, releases, property-access authority, and recipient authority for Customer Data and service use. The customer is responsible for data accuracy, staff training, endpoint security, assignment instructions, retention decisions, and compliance with insurance, employment, privacy, drone, communications, and carrier requirements.
Human authority and AI
Aegis OS may organize information and provide non-binding AI-assisted labels, summaries, or decision support. Licensed and authorized people retain responsibility for coverage, liability, fraud, underwriting, reserve, payment, inspection, delivery, and customer decisions. Aegis may use Customer Data to perform customer-requested AI functions and may use Aegis Data to evaluate, train, tune, and improve models, automation, and related products. Use of identifiable or customer-attributable data for a separate model-training program requires the scope stated in an order form, feature notice, or other authorized instruction. AI output is not a final insurance decision, professional opinion, or legal advice.
Third-party services
Carrier, AMS, email, SMS, eSignature, payment, accounting, mapping, AI, and other integrations may require a separate provider account, contract, credential, fee, and approval. Aegis does not activate production exchange without authorized credentials and does not control a third party’s availability, terms, security, or decisions.
Confidentiality and security
Each party will protect the other party’s confidential information using reasonable safeguards and use it only for the agreement. Aegis applies organization separation, role-based access, private storage, authentication controls, logging, and human delivery gates. The customer must configure roles carefully, protect devices and credentials, connect only authorized systems, and report suspected misuse promptly.
Export, deletion and termination
The customer may request a reasonable export of Customer Data before termination. After termination or a verified deletion instruction, Aegis will delete or return Customer Data in accordance with the applicable order form, retention schedule, legal hold, and backup cycle. Aegis may suspend access for security risk, unlawful use, nonpayment after paid billing begins, or material breach. Either party may terminate according to its order form; provisions concerning ownership, confidentiality, liability, and lawful retention survive.
Aegis intellectual property
Aegis and its licensors own the service, software, design, documentation, workflows, and related intellectual property, excluding Customer Data. Feedback may be used to improve the service without identifying the customer or disclosing Customer Data. No rights are granted except those expressly stated in these Terms.
Disclaimers
To the fullest extent permitted by law, the service is provided as available and without implied warranties. Aegis does not guarantee uninterrupted operation, error-free output, carrier acceptance, claim outcome, regulatory compliance, or business results. The customer must independently verify material information and maintain appropriate operational and recovery procedures.
Liability and indemnity
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, exemplary, or consequential damages. Aegis’s aggregate liability arising from the service will not exceed fees paid by the customer for the service during the twelve months before the event giving rise to the claim, except where the law does not permit that limitation or an order form expressly states otherwise. The customer is responsible for third-party claims arising from unlawful Customer Data, missing authority, or prohibited use; any broader indemnity obligations must be stated in a signed customer agreement.
Governing terms and changes
Florida law governs these Terms without regard to conflict-of-law rules, and disputes not resolved informally will be brought in courts with jurisdiction in Hillsborough County, Florida, unless a signed order form requires another forum. An order form or signed customer agreement controls over conflicting general Terms. Material changes will receive a new version and effective date; continued use after notice constitutes acceptance where permitted by law.
