Customer subscription agreement
This agreement supplements the Terms of Service for paid or controlled production use. It becomes binding when both parties sign an order form or other authorized written acceptance that identifies the customer and MATЯXS Labs as operator of Aegis OS.
Order form and parties
Each order form must state the parties’ registered legal names, addresses, notice contacts, authorized signers, selected plan, included users, fees, taxes, billing frequency, effective date, initial term, renewal terms, permitted company workspaces, support tier, and any negotiated terms. No employee may bind either party without authority.
Service scope
The standard service includes organization-separated role-based workspaces, inspection and claims workflows, private document and media storage, human-controlled AI assistance, QA, audit history, company mailbox connection, and available exports. The selected plan establishes user capacity and support. Carrier/AMS, SMS, eSignature, payments, accounting, comparative rating, licensed forms, and other provider services require written scope, authorized credentials, and any applicable third-party charges.
Customer Data and control
The customer retains the rights it lawfully holds in identifiable Customer Data and controls authorized use and disclosure within its workspace. Aegis acts as a processor or service provider for that Customer Data and receives the processing license stated in the Terms. The customer remains responsible for lawful collection, notices, consents, property access, employee and contractor authority, and directions concerning retention and recipients.
Aegis Data and commercial use
Aegis owns aggregated or deidentified data, statistics, benchmarks, features, models, insights, system telemetry, and usage metrics created through operation of the service. Aegis may use, combine, analyze, improve, license, publish, and commercialize that Aegis Data for lawful product, security, analytics, research, benchmarking, and model-development purposes. Reasonable measures will be applied so Aegis Data cannot reasonably be linked to an identifiable person or customer, and commercial or research recipients are placed under applicable use and reidentification restrictions.
Data-processing instructions
Aegis may process Customer Data to provide, secure, support, and improve the contracted service; follow documented customer instructions; create Aegis Data; prevent misuse; and comply with law. Processing may include hosting, storage, organization, transmission, backup, retrieval, deletion, analytics, and AI analysis. The categories of people may include insureds, claimants, property owners, employees, contractors, adjusters, customers, and authorized recipients, and the data types are those described in the Privacy and Data Ownership Notice.
Confidentiality and subprocessors
People authorized to process Customer Data must be subject to confidentiality duties. Aegis may use vetted subprocessors for hosting, storage, communications, security, support, and approved AI functions under written restrictions appropriate to their role. Aegis remains responsible for its contractual obligations and will provide current subprocessor information on reasonable request.
Security and incidents
Aegis will maintain reasonable administrative, technical, and organizational safeguards, including tenant separation, role-based access, protected authentication, private storage, audit logging, and controlled delivery. Each party will maintain incident contacts. Aegis will notify the customer without unreasonable delay after confirming a breach affecting Customer Data when notice is required, provide available information, take reasonable containment and remediation steps, and assist with legally required notices based on the nature of processing and information available.
Return, deletion and legal retention
During the subscription and for a reasonable transition period stated in the order form, the customer may request available exports. At the customer’s verified direction or after termination, Aegis will return or delete Customer Data unless retention is required by law. Protected backups will expire under the documented backup cycle and remain inaccessible for ordinary business use. Legal holds, security records, billing records, and dispute evidence may be retained only for the applicable purpose and period.
Service levels and support
Standard support is email-first at hello@aegisos.co during the hours stated in the order form. Enterprise priority launch support does not create a guaranteed uptime or response-time commitment unless the order form includes a service-level schedule. Critical privacy, security, or data-loss reports receive priority handling. Planned maintenance and emergency security work may temporarily affect availability.
Fees, changes and nonpayment
The customer will pay the amounts and taxes stated in the order form. Provider and transaction charges are separate unless expressly included. Plan changes require authorized approval and may take effect immediately or at the next billing period as stated in the order form. After paid billing is activated, undisputed late amounts may result in suspension following notice and a reasonable opportunity to cure. No automatic charge occurs unless the customer has expressly authorized an approved payment method.
Term and termination
The initial term, renewal, cancellation deadline, and any refund or early-termination terms must appear in the order form. Either party may terminate for an uncured material breach after written notice; immediate suspension or termination is permitted for unlawful use, material security risk, or conduct likely to harm people, data, or the service. Customer Data transition and surviving obligations remain governed by this agreement.
Insurance decisions and professional responsibility
Aegis provides workflow software and non-binding decision support. The customer and its licensed or authorized professionals make all coverage, claim, liability, fraud, underwriting, reserve, payment, inspection, delivery, employment, and regulatory decisions. The customer is responsible for carrier requirements, professional licenses, required notices, and review of material output.
Legal allocation
The Terms govern confidentiality, intellectual property, prohibited use, disclaimers, liability limitations, indemnity boundaries, Florida law, and dispute forum unless the signed order form expressly changes them. The order form controls over this agreement for specific commercial terms, this agreement controls over conflicting general Terms, and a signed data-processing or security addendum controls for its subject matter.
Required completion before signature
The final order form must contain MATЯXS Labs’s active registered legal name, physical notice address, customer legal identity, pricing and taxes, subscription dates, renewal and cancellation terms, data-retention and backup schedule, subprocessor disclosure method, incident contacts, support commitments, insurance requirements if any, and authorized signature blocks.
